Role purpose

The Transaction Services Manager will lead Financial Due Diligence engagements related to acquisitions, divestitures, sale processes and other strategic transactions.

This role will play a critical part in assessing target companies and transforming accounting, financial and operational information into actionable commercial insights. These insights will support private equity investors, corporate clients and other stakeholders in identifying risks, evaluating opportunities, protecting value and making informed investment decisions.

The Manager will assume end-to-end responsibility for engagement delivery, day-to-day client relationships, quality of deliverables, team development and the financial performance of assigned engagements.

Key responsibilities

Engagement leadership and transaction execution

  • Lead buy-side and sell-side Financial Due Diligence, vendor due diligence and vendor assistance engagements from initial scoping through final reporting.

  • Develop engagement plans, define priorities, establish timelines and coordinate the resources required for successful delivery.

  • Manage multiple concurrent engagements in fast-paced transaction environments.

  • Lead data-room processes, information requests, Q&A sessions and management meetings with target companies.

  • Coordinate multidisciplinary input from tax, legal, valuation, strategy, technology and other transaction-related workstreams.

Financial and technical analysis

  • Lead and review Quality of Earnings and EBITDA normalization analyses.

  • Analyze revenue, margins, costs, expenses, profitability, working capital and cash-flow generation.

  • Assess net debt, debt-like items, contingent liabilities and other transaction-related adjustments.

  • Identify financial trends, risks, opportunities, synergies and the key value drivers of the target business.

  • Evaluate the quality and sustainability of historical performance and challenge the reasonableness of forecasts, budgets and business plans.

  • Review purchase price mechanisms, working-capital adjustments and Enterprise Value-to-Equity Value bridges.

  • Support the financial review of sale and purchase agreements, completion accounts, locked-box mechanisms and other purchase price considerations.

  • Use financial and data-analysis tools to identify relevant findings and develop evidence-based conclusions.

Client and stakeholder management

  • Serve as the primary day-to-day contact for corporate clients, private equity investors, investment banks, legal counsel and other advisors.

  • Lead client meetings and discussions with the target company’s senior management.

  • Present findings, risks, opportunities and recommendations to executives, partners, investors and investment committees.

  • Translate complex financial analysis into clear commercial conclusions, explaining how findings may affect valuation, negotiations or deal structure.

  • Build trusted client relationships that support repeat business and long-term account development.

Engagement economics and risk management

  • Prepare and manage engagement budgets, timelines and resource plans.

  • Monitor hours, progress, budget variances, margins, recovery rates, work in progress and invoicing.

  • Anticipate and address risks related to scope, deadlines, resource requirements and engagement profitability.

  • Ensure compliance with the firm’s quality, independence, confidentiality and risk-management standards.

Team leadership and development

  • Manage, coach and develop consultants, seniors and other members of the engagement team.

  • Allocate responsibilities and establish clear expectations for each workstream.

  • Review financial analyses, models, databooks, reports and presentations prepared by team members.

  • Provide timely feedback and on-the-job coaching to strengthen the team’s technical, commercial and communication capabilities.

  • Foster a collaborative, inclusive and high-performance working environment.

Business development

  • Support the identification and development of new business opportunities.

  • Prepare proposals, credentials, pitch materials and client presentations.

  • Participate in prospect meetings and business-development discussions.

  • Identify cross-selling opportunities with other service lines.

  • Contribute to the growth and market positioning of the Transaction Services practice through market analysis, publications, events and relationships within the M&A ecosystem.

Required qualifications and experience

  • Bachelor’s degree in Accounting, Finance, Economics, Business Administration or a related discipline.

  • +8 years of relevant professional experience in Transaction Services, Financial Due Diligence, M&A Advisory, Corporate Finance or a related field.

  • Strong experience leading Financial Due Diligence engagements, preferably within a Big Four firm, professional-services firm, advisory practice or specialist transaction-services boutique.

  • Demonstrated experience in buy-side and sell-side transactions.

  • Advanced understanding of financial statements and transaction-focused financial analysis.

  • Strong knowledge of Quality of Earnings, normalized EBITDA, working capital, net debt, cash flows and purchase price adjustments.

  • Solid understanding of IFRS and/or Mexican Financial Reporting Standards; knowledge of US GAAP would be advantageous.

  • Experience preparing and reviewing executive-level Financial Due Diligence reports.

  • Advanced Excel and PowerPoint skills.

  • Experience with data visualization, automation or analytics tools would be advantageous.

  • Advanced English proficiency, including the ability to work directly with international clients and teams.

  • Availability to support cross-border engagements involving Mexico, the United States and Latin America.

  • CPA, Chartered Accountant, CFA, MBA or similar professional qualifications would be considered an advantage.
